PineXchange – Terms of Service & Privacy Policy

SECTION A – TERMS OF SERVICE ("TOS")

1. Acceptance of the Terms

By creating a PineXchange account or by otherwise using any part of the PineXchange website, dashboard, API, webhook, Expert Advisor (EA) or related mobile/desktop applications (collectively, the "Service"), you acknowledge that you have read, understood and agree to be legally bound by these Terms of Service and our Privacy Policy (Section B). If you do not agree, you must not access or use the Service.

2. Description of the Service

PineXchange provides an online bridge that receives user-defined TradingView™ alert messages and transmits them to a linked MetaTrader 4/5 ("MT4/MT5") account for automatic order execution. The Service does not provide investment advice, nor does it act as a broker or cryptocurrency/forex exchange. Users remain fully responsible for any trades placed on their own accounts. Key features (subject to the selected plan) include real-time signal processing, webhook endpoints, EA files for MT4 & MT5, order-tracking dashboards, historical logs, and optional subscription management.

3. Eligibility

You must be (i) at least 18 years old, (ii) legally capable of entering into binding contracts in your jurisdiction, and (iii) not barred from using similar financial-technology services under any applicable laws or sanctions regimes.

4. Registration & Security

You agree to provide accurate information, keep your login credentials secure, maintain up-to-date email/phone details, and promptly notify PineXchange of any unauthorised access. You are solely responsible for all activity that occurs under your account.

5. Subscriptions, Fees & Billing

Plans (Starter – $19/m, Professional – $49/m, Premium – $109/m) are billed in advance via Stripe®. Subscriptions renew automatically unless cancelled before the end of the current billing cycle. Fees are non-refundable except where required by law.

6. Licence Grant & Restrictions

PineXchange grants you a limited, non-exclusive, revocable, non-transferable licence to access the dashboard and to install the EA solely for personal or internal business use. Reverse-engineering, reselling, shared-hosting, or reproducing the Service is prohibited.

7. User Obligations

• Maintain a stable internet connection and VPS/environment for MT4/MT5.
• Ensure correct syntax in TradingView alert messages; PineXchange is not liable for malformed alerts.
• Monitor trades and manage risk in accordance with your own strategy.

8. Third-Party Services & Disclaimers

TradingView™ and MetaTrader™ are third-party platforms. PineXchange is not affiliated with nor endorsed by these entities. Your use of their services is governed by their own terms.

9. Risk Disclosure & No Investment Advice

All trading involves risk, including possible loss of principal. Past performance does not guarantee future results. PineXchange does not provide financial, investment, tax or legal advice. Content is for informational purposes only.

10. Service Availability & Modifications

We endeavour to provide 99.9% uptime but do not guarantee uninterrupted, error-free operation. We may modify, suspend or discontinue features with or without notice.

11. Intellectual Property

All software, trademarks, trade names, logos, and content are owned by or licensed to PineXchange. Except for the limited licence above, no rights are granted.

12. Termination

You may terminate at any time via the dashboard. PineXchange may suspend or terminate your access immediately for breach of these Terms, regulatory reasons, or malicious activity. Clauses on IP, Disclaimers, Limitation of Liability and Governing Law survive termination.

13. Indemnification

You agree to indemnify and hold PineXchange, its officers, employees and agents harmless from any third-party claim arising out of (i) your use of the Service, (ii) your violation of these Terms, or (iii) your violation of any law or third-party right.

14. Limitation of Liability

To the maximum extent permitted by law, PineXchange shall not be liable for indirect, incidental, punitive, or consequential damages, including lost profits, trading losses or data loss, even if advised of the possibility. In no event will our aggregate liability exceed the amounts you paid to PineXchange in the preceding 12 months.

15. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand (Personal Data Protection Act B.E. 2562 included). Any dispute shall be submitted to the exclusive jurisdiction of the courts of Bangkok, Thailand.

16. Changes to the Terms

We may update these Terms from time to time. We will notify users by email or dashboard notice at least 7 days before material changes take effect. Continued use after the effective date constitutes acceptance.

SECTION B – PRIVACY POLICY

1. Purpose

This Privacy Policy explains how PineXchange ("we", "our", "us") collects, uses, shares and protects personal information when you use the Service.

2. Data Controller

QuantFX Innovations Co., Ltd. (registered in Thailand) is the data controller under the Thailand PDPA and, where applicable, the EU GDPR.

• Contract – to provide the Service you request.
• Legitimate interests – to monitor performance, prevent fraud, improve features.
• Consent – for optional marketing emails.
• Legal obligation – to comply with anti-money-laundering (AML) or tax laws.

5. How We Use Information

• Authenticate users and secure sessions.
• Execute and log trading signals.
• Provide customer support and send service-related notices.
• Process payments and manage subscriptions.
• Detect and mitigate abuse, DDoS or unauthorised access.
• Improve UI/UX, develop new features, and conduct aggregated analytics.

6. Sharing & Disclosure

We do not sell personal data. We share it only with:

• Processors: Stripe (payments), AWS/Google Cloud (hosting), Sentry (error monitoring), Mailgun (transactional email) – each under a DPA.
• Regulators or law enforcement when legally required.
• Successors in a merger, acquisition or asset sale, with prior notice.

7. International Transfers

Servers may be located outside your country; we rely on Standard Contractual Clauses or PDPA-compliant safeguards for cross-border transfers.

8. Data Retention

We retain:

• Account records while your account is active and for 5 years thereafter (AML requirement).
• Trading logs for up to 60 days (depending on plan) unless you request earlier deletion.
• Financial records for 10 years (Thai Revenue Code).

9. Security

We employ TLS 1.3 encryption, least-privilege IAM roles, hashing of passwords (bcrypt ≥12 rounds) and periodic penetration testing. However, no method of transmission over the Internet is 100% secure.

10. Your Rights

Subject to local law, you may request: (i) access to personal data, (ii) correction, (iii) erasure, (iv) restriction, (v) data portability, (vi) withdrawal of consent. Contact support@pinexchange.io. We will respond within 30 days.

11. Children's Privacy

The Service is not directed to children under 18. We do not knowingly collect such data. If we learn we have, we will delete it promptly.

12. Cookies & Tracking Technologies

We use strictly-necessary cookies for authentication, plus optional analytics cookies only with consent. You can manage preferences in your browser or in-app settings.

13. Changes to this Privacy Policy

Material changes will be announced via email/dashboard at least 7 days prior to the effective date.
